The firm has experience of advising on corporate governance and decision-making throughout the chain of companies in holding structures and trading groups including Isle of Man, English and other companies, for example, the validity of decisions made by directors and/or shareholders, the calling and holding of general meetings. We also advise on the dissolution and winding up of companies, acting as adviser and/or liquidator as appropriate to the circumstances.
The firm assists with setting up structures but does not have its own corporate or trust service provider (CSP or TSP); it offers its clients a choice of service providers for setting up a company, trust or other structure in the Isle of Man or redomiciliation of an existing structure to or from the island.
In appropriate cases, Kinley Legal advises CSPs and TSPs on the scope of due diligence they have to do on their Russian, CIS or British clients, appropriate monitoring processes for companies they administer, their duties as company directors, secretaries or registered agents, and constitutional and contractual documents.
